1. Agreement & Acceptance of Terms

By engaging OptixFusion Digital Marketing & Web Engineering ("OptixFusion", "Agency", "we", "us", or "our"), approving a proposal, executing a statement of work (SOW), or paying an invoice for web development, SEO, or PPC services, you ("Client", "you", or "your") agree to be bound by these Terms & Conditions. If you do not agree with these terms, please refrain from commissioning agency services.

2. Scope of Agency Engineering & Marketing Services

OptixFusion provides professional digital agency solutions across three primary core pillars:

• Website & E-Commerce Engineering: Custom Website Design, Web Application Engineering, WordPress Development, Shopify E-Commerce Store Architecture, POS & Inventory Integrations, Speed Optimization, and CMS Training.
• Search Engine Optimization (SEO): Technical Audits, On-Page SEO, Content Strategy, High-Authority Link Building, Local Business Ranking, and Keyword Strategy.
• Performance Marketing & PPC Management: Meta Ads (Facebook & Instagram), Google Search & Shopping Ads, Lead Generation Architecture, Campaign Optimization, and Conversion Rate Optimization (CRO).

3. Client Intellectual Property & Code Ownership

Upon full settlement of agreed project invoices, the Client retains 100% full ownership of all custom website source code, visual designs, database architectures, graphics, and branding assets created specifically for the project. OptixFusion claims zero recurring royalties, hidden licensing locks, or monthly code ownership holds.

4. Payment Terms, Deposits & Invoicing

• Web Engineering Projects: Typically structured with a 50% initial deposit prior to kickoff and 50% upon final client sign-off and server deployment (or agreed milestone schedules).
• Marketing & Management Retainers: Billed monthly in advance via invoice, credit card (Stripe), or direct bank transfer.
• Platform Ad Spend: Paid directly by the client to ad platforms (Google Ads, Meta Ads Manager). Ad spend is separate from OptixFusion agency management fees.

5. Project Timelines, Revisions & Client Approvals

Project timelines depend on timely client feedback, asset approvals, and content provision. Standard web engineering projects include up to 2-3 structured revision rounds per phase (Design Wireframes, Development Preview, and Final Launch Preparation). Scope additions outside approved SOW proposals will be quoted separately as change orders.

6. Third-Party Licenses, Hosting & API Services

Clients maintain direct accounts and financial responsibility for third-party hosting servers, domain registrars, premium software plugins, and third-party API subscriptions required for site operation.

7. Limitation of Liability & Service Warranties

OptixFusion warrants that all work is executed with professional care using modern industry best practices. We provide a 30-day post-launch technical warranty to resolve any bugs or code defects. OptixFusion shall not be held liable for third-party server downtime, search engine algorithm updates, or ad platform policy changes beyond reasonable agency control.
